1. About These Terms

These Terms and Conditions (“Terms”) govern your use of the Website located at mioceania.org (Website), operated by MI Oceania Incorporated (MINT Oceania), a New Zealand incorporated society.

MINT Oceania is a not-for-profit, member-based organisation that supports the practice, training and development of Motivational Interviewing across Aotearoa New Zealand, Australia and the South Pacific.

MINT Oceania provides a platform through which Users may access information about trainers, workshops, coaching and supervision services, and may connect with other professionals interested in Motivational Interviewing.

MINT Oceania operates as an approved regional chapter under the umbrella structure of the Motivational Interviewing Network of Trainers Incorporated (MINT Inc), an international organisation incorporated in Virginia, United States.

MINT Oceania operates a membership structure that includes:

(a) individuals who are members of MINT Inc and participate within the MINT Oceania regional chapter; and

(b) “Friends of MINT Oceania”, being individuals who access certain Website features and resources through a separate subscription or registration pathway.

The Website may include access to Third Party Services, including workshops, webinars, conference events, coaching and supervision. MINT Oceania is not a party to any agreement between Users and those service providers and does not assume any responsibility or liability for those services.

MINT Oceania may organise, facilitate or host workshops, webinars, conference events and other activities. Content presented at those events is provided by independent presenters.

MINT Oceania does not provide, deliver, supervise, endorse, verify or guarantee any workshops, webinars, conference events, coaching or supervision services listed on the Website, or the accuracy, quality or outcomes of any content, presentations, training or services provided by presenters or third parties. All such services are provided independently by third parties, and any engagement is directly between Users and those providers at their own risk.

By accessing or using the Website (including creating an account, registering for Content, subscribing as a Friend of MINT Oceania, or using any member-only or subscriber-only features), you agree to these Terms.

Membership status within MINT Oceania is governed by the Rules of MI Oceania Incorporated and, where applicable, requirements originating from MINT Inc. The Website provides access and functionality only and does not determine or alter membership status.

3. Acceptance of Terms and Privacy Policy

In addition to general use of the Website, you may be required to expressly accept these Terms and the Privacy Policy when creating an account, submitting a listing, registering for Content, or accessing certain features of the Website.

Where the Website requires you to click a button, tick a box, or otherwise indicate acceptance, you agree that this constitutes your acceptance of:

(a) these Terms; and

(b) the Privacy Policy.

You must not create a listing, submit content, or use any restricted or member-only functionality unless you have accepted these Terms and the Privacy Policy in the manner required by the Website.

You must not share your login credentials or otherwise allow unauthorised access to member-only Content.

Where you submit information for a listing, profile, or workshop, you confirm that:

(a) the information you provide is true, accurate, and not misleading; and

(b) you have the authority to provide that information.

Your continued use of the Website after any update to these Terms or the Privacy Policy constitutes acceptance of those changes.

We may retain records of your acceptance of these Terms and the Privacy Policy.

4. Use of Website

You may use the Website only for lawful purposes and in accordance with these Terms.

You must not:

(a) misuse, disrupt, interfere with, or impair the operation of the Website;

(b) attempt to gain unauthorised access to any account, system, content or restricted area;

(c) upload, transmit or introduce malicious code, viruses or other harmful material;

(d) copy, scrape, harvest or extract data from the Website without our prior written permission;

(e) use the Website in a way that is misleading, unlawful, defamatory or harmful;

(f) represent yourself as a MINT Inc Member unless that status has been determined by MINT Inc;

(g) use another person’s account or allow your account to be used by another person.

We may change, suspend, withdraw or restrict access to any part of the Website at any time without notice.

5. Membership Structure

Membership status within MINT Oceania is governed by the Rules of MI Oceania Incorporated and, where applicable, requirements originating from MINT Inc.

These Terms govern access to and use of the Website only. Membership status in MINT Inc and MINT Oceania is determined separately under the applicable organisational rules and processes.

The Website provides access and functionality only and is not the mechanism through which membership rights are granted, verified or maintained.

The Website distinguishes between the following categories of Users:

(a) MINT Inc Members

(b) Friends of MINT Oceania

These categories have different status, rights, access and limitations under these Terms and the applicable governing documents.

6. MINT Inc Members

MINT Inc Members are persons whose membership status, dues standing and eligibility are determined by MINT Inc.

MINT Oceania operates the Website in connection with MINT Inc but does not independently determine, audit, certify or verify current MINT Inc membership status, dues status or standing beyond information reasonably made available to it.

MINT Oceania periodically receives membership information from or associated with MINT Inc for chapter administration and Website access purposes. MINT Inc Members generally pay membership dues directly to MINT Inc rather than to MINT Oceania.

Because membership information is updated periodically, it may not reflect real-time dues status, current eligibility or current MINT Inc standing at all times. Delays, administrative discrepancies or synchronisation issues may occur between MINT Inc systems and Website information, and Users must make their own enquiries where confirmation is required.

Where a person is a current MINT Inc Member, they may be recognised as participating in MINT Oceania in accordance with the Rules of MI Oceania Incorporated.

MINT Inc Members may receive access to features, resources, directories, events or Content made available to recognised members from time to time.

Subject to the Rules of MI Oceania Incorporated, current MINT Inc Members have voting rights at general meetings of MI Oceania Incorporated and may be eligible to hold committee roles, including officer roles.

A person’s status as a MINT Inc Member, or inclusion in any directory, listing or Website Content, does not mean that MINT Oceania endorses, supervises, certifies, approves or guarantees that person or any services they provide.

MINT Oceania does not guarantee the quality, suitability, accuracy or outcome of any services provided by MINT Inc Members or other third parties.

Recognition as a MINT Inc Member does not create any employment, agency, partnership, endorsement, certification or training approval by MINT Oceania.

7. Friends of MINT Oceania

Friends of MINT Oceania are subscription-based, non-voting members or Users of MINT Oceania who engage with MINT Oceania but are not, by that subscription, MINT Inc Members.

A Friend of MINT Oceania subscription:

(a) provides only the access or benefits stated on the Website at the time;

(b) does not confer MINT Inc Membership;

(c) does not give voting rights in MINT Inc or at general meetings of MINT Oceania;

(d) does not certify the User as a trainer;

(e) does not authorise the User to claim MINT Inc Membership;

(f) does not amount to endorsement by MINT Oceania or MINT Inc;

(g) does not entitle the User to receive any services from trainers or third parties listed on the Website.

Access and benefits are limited to those expressly provided through the Website and do not extend beyond the Website or any Third Party Services.

Subject to the Rules of MI Oceania Incorporated, Friends of MINT Oceania may be eligible to hold some committee roles but are not eligible to hold the officer roles of Chairperson, Secretary or Treasurer.

We may change the benefits available to Friends of MINT Oceania from time to time, subject to any rights that cannot be excluded under applicable law.

8. Payments and Subscriptions

This section applies only to subscriptions for Friends of MINT Oceania.

Friends of MINT Oceania must pay the applicable subscription fees published on the Website. Subscription fees, billing periods, benefits and payment terms are set out on the Website or during checkout. Membership fees payable to Motivational Interviewing Network of Trainers Incorporated (if applicable) are separate, are generally paid directly to MINT Inc, and are not processed through the Website.

The Website does not facilitate payments or transactions between Users and trainers or service providers.

Event registrations, webinar bookings or related event payments may be handled through third-party event platforms such as TryBooking or similar providers.

All payments are processed using third-party payment providers and are subject to the terms and conditions of those providers. We are not responsible for the acts or omissions of those providers. Subscription payments and certain other payments may be processed through third-party payment providers such as Stripe. MINT Oceania does not store full payment card details and is not responsible for the operation, availability or security of third-party payment systems.

By using a third-party payment provider, you acknowledge that your payment information may be collected and processed under that provider’s own terms, privacy policy and fee structure. You are responsible for ensuring that your nominated payment method is valid, current and has sufficient funds available when payment is processed.

Unless stated otherwise:

(a) subscriptions renew automatically at the end of each billing period unless you cancel your subscription before the end of the current billing period;

(b) you authorise us or our payment provider to charge the applicable renewal fee using your nominated payment method;

(c) you are responsible for keeping your payment details current;

(d) if payment cannot be processed, we may suspend or limit access to your subscription features until payment is successfully processed;

(e) subscription fees are not refundable except where required by applicable law or where we determine otherwise in our discretion.

Nothing in this section limits any rights you may have under applicable consumer protection laws.

You may cancel your subscription using the method provided on the Website or by contacting us using the contact details published on the Website. Cancellation will take effect at the end of the current paid subscription period unless otherwise stated on the Website.

We may change subscription fees or benefits by giving reasonable prior notice where practicable. Continued use after a change takes effect means you accept the updated fee or benefit structure.

We do not guarantee the continued availability of any particular feature, content or benefit associated with a subscription.

A subscription does not entitle you to receive any services from trainers or third parties listed on the Website.

9. Directory Disclaimer

The Website includes directories, listings, profiles, event notices, workshop information and trainer information.

MINT Oceania does not provide, deliver, supervise, endorse, verify or guarantee any workshops, webinars, conference events, coaching or supervision services listed on the Website. All such services are provided independently by third parties, and any engagement is directly between Users and those providers at their own risk.

These directories are provided as a platform for information sharing and professional visibility only and do not involve any review, endorsement or control by MINT Oceania of the listed individuals, services or content.

Directory listings must relate to professional development that includes Motivational Interviewing content. We reserve the right to remove or restrict any listings that do not meet this requirement.

MINT Oceania generally expects that Motivational Interviewing workshop listings will involve up to three trainers or presenters and include at least one current MINT Inc Member, although exceptions, collaborations or alternative participation arrangements may be permitted at MINT Oceania’s discretion.

Inclusion of a person as a MINT Inc Member may indicate that they have previously been recognised by MINT Inc, but does not guarantee their current dues status, current standing, or the quality, suitability or currency of any services provided.

Directory listings are provided for general information purposes only and do not constitute advice or recommendations.

MINT Oceania does not independently verify:

(a) trainer qualifications;

(b) current MINT Inc membership status, dues status or standing;

(c) professional registration;

(d) workshop quality;

(e) training outcomes;

(f) suitability of any trainer, workshop, event or service;

(g) whether any listing is current or up to date; or

(h) the accuracy or completeness of information supplied by listed individuals or organisations.

Inclusion in a directory or listing does not mean that MINT Oceania or MINT Inc endorses, recommends, certifies, supervises or guarantees any person, trainer, workshop, service or event.

MINT Oceania is not a party to any arrangement, agreement or engagement between Users and listed individuals or organisations. Nothing on the Website creates any relationship of agency, employment or partnership between MINT Oceania and any listed individual or organisation.

Users must make their own enquiries and exercise independent judgment before engaging any trainer, attending any workshop or relying on any listing.

To the extent permitted by law, MINT Oceania accepts no responsibility for any loss or damage arising from or in connection with any reliance on any listing.

10. Intellectual Property

Intellectual Property Rights in the Website are owned by or licensed to MINT Oceania. Intellectual Property Rights in Content may be owned by MINT Oceania or by third parties and are made available through the Website under licence, permission or other lawful basis.

Nothing in these Terms transfers any ownership of Intellectual Property Rights to you.

Subject to these Terms, MINT Oceania grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Website and Content for lawful personal, professional or educational purposes.

You must take reasonable care to protect Content from unauthorised copying, sharing, publication, distribution, resale or other misuse.

You must not use any Content in a way that:

(a) infringes Intellectual Property Rights;

(b) suggests endorsement by MINT Oceania or MINT Inc;

(c) is misleading, unauthorised, or inconsistent with these Terms; or

(d) is used for commercial exploitation without our prior written permission.

If you submit, upload or make available any Content on the Website, you grant MINT Oceania a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish and display that Content for the purpose of operating, administering, displaying, maintaining and promoting the relevant Website feature, listing, event notice or Content.

You warrant that you have all necessary rights to submit, upload or make available that Content and that it does not infringe any third-party rights.

You must not submit, upload or make available content that is unlawful, misleading, deceptive, defamatory, offensive, explicit, or that infringes Intellectual Property Rights, privacy rights or any other third-party rights.

We may remove or modify any Content submitted to the Website at our discretion.

MINT Oceania is not responsible for, and does not independently verify, User-submitted content, Directory information, workshop notices or third-party material made available through the Website.

11. Content and Webinar Use Restrictions

All Content on the Website is provided for general educational, professional development and community purposes only and does not constitute professional advice.

Unless MINT Oceania and, where applicable, the relevant presenter expressly agree otherwise in writing, you must not:

(a) copy, reproduce, share, publish, sell or distribute any Content;

(b) record, download or redistribute webinars or webinar recordings;

(c) use Content for commercial training delivery or commercial purposes;

(d) upload Content to another platform;

(e) remove any copyright notices or attribution; or

(f) rely on Content as a substitute for professional advice or services.

Access to webinars, recordings and resources may be restricted or varied depending on User category, including MINT Inc Members and Friends of MINT Oceania.

Access to Content does not transfer ownership of any Intellectual Property Rights. You are granted a limited, non-exclusive, non-transferable right to access and use Content in accordance with these Terms.

Content made available on the Website by Users, trainers or other third parties is provided by those parties and not by MINT Oceania. We do not endorse, approve or accept responsibility for any such Content.

We may review, remove, modify or restrict access to any Content at our discretion.

12. No Professional Advice

It is not medical, clinical, legal, financial, psychological or other professional advice.

Any reliance you place on Website Content is at your own risk.

(a) your use of, or inability to use, the Website;

(f) inaccurate, incomplete or outdated membership information;

(g) interruption, suspension or unavailability of the Website;

(h) unauthorised access to or misuse of your account;

(i) any errors or omissions in Website Content;

(j) any indirect, incidental, special or consequential loss; or

(k) loss of data, business, revenue, profits or opportunity.

Nothing in these Terms excludes any liability that cannot lawfully be excluded.

Where liability cannot be excluded but can be limited, our liability is limited, at our option, to:

(a) re-supplying the relevant Website access or functionality; or

(b) refunding the amount paid by you for the relevant subscription.

14. Indemnity

You agree, to the maximum extent permitted by law, to indemnify and hold harmless MINT Oceania and its officers and committee members from and against any loss, damage, claim, liability or expense (including legal costs) arising from:

(a) your breach of these Terms;

(b) your breach of any applicable law or the rights of any third party;

(c) your use of the Website;

(d) any Content you submit, upload or make available;

(e) your engagement with any trainer, workshop or third party; or

(f) your infringement, misuse or unauthorised use of any Intellectual Property Rights, Website Content or member-only materials.

This indemnity survives termination or expiry of these Terms.

15. User Accounts

You are responsible for maintaining the confidentiality of your account login details and must not share your login credentials or allow any other person to access or use your account.

You are responsible for all activity that occurs under your account, whether or not authorised by you.

You must ensure that all information you provide to us is accurate, current and complete, and must promptly update that information where it changes.

You must notify us promptly if you become aware of any unauthorised use of your account or any other security breach.

You must not:

(a) impersonate any person or entity;

We may refuse registration, suspend or terminate your account, restrict access, or require account information to be corrected where we consider it appropriate, including where we reasonably suspect a breach of these Terms or misuse of the Website.

16. Suspension and Termination

(d) your use of the Website may harm MINT Oceania, MINT Inc, other Users, or third parties;

(e) continued access would create legal, operational, reputational or security risk;

(f) your account has been used in an unauthorised or insecure manner.

Suspension or termination does not affect any rights or obligations that have accrued prior to that suspension or termination.

If your MINT Inc membership status changes, your access to the Website may be modified accordingly.

If your Friend of MINT Oceania subscription ends, your access to Friend-only features will cease unless otherwise stated on the Website.

We may also remove or disable access to any Content or account information associated with your account where access is suspended or terminated.

Some of these providers may be located outside New Zealand. By using the Website, you acknowledge that, where permitted by applicable law, your information may be transferred to, stored in, or processed in other jurisdictions.

You can control or disable cookies through your browser settings, although this may affect the functionality of the Website.

Further information about how we use cookies and similar technologies is set out in our Privacy Policy.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Website, our operations, or legal requirements.

The updated Terms will apply from the date they are posted on the Website, unless stated otherwise.
